Key features
What is supplied and what is not
A section to describe the goods or services and a line for anything the customer might expect that is excluded.
An order process
Orders are placed in writing and become binding when the vendor accepts them or starts work. The form says its terms win if an order conflicts with it.
Prices held to a date
A blank for the prices or where the price list is, and the date they are held to. A change needs written notice.
Checking deliveries
The customer checks what arrives, and the vendor replaces, repairs or credits anything that does not match, at the customer's choice.
Disputed invoices
The customer may hold back a disputed amount if it sets out the dispute in writing, and pays the rest.
About this document
A vendor agreement is the standing terms between a customer and a business that supplies it: what is bought, how orders are placed, prices, delivery, checking what arrives and payment. It means each order does not have to restate the basics.
The form is written from the customer's side. You fill in the details by hand and both sides sign.
