About this document
An intellectual property licence agreement lets a licensee use rights the licensor holds, such as a design, technology, process, know-how, work, data or mark, for a stated purpose. It sets what the licensee may and may not do, exclusivity, territory and term, payment, reporting, improvements and what happens if someone alleges infringement.
It is a general form to complete by hand, for when a more specific form such as the trademark or software licence does not fit. It leaves every figure and period for the parties. It says the licensor makes only limited confirmations, not promises about validity or results.
